Terms of Service

These Terms of Service ("Terms") govern your access to and use of Replio's services, including our website at repliohq.com, the Replio application at app.repliohq.com, and all related services (collectively, the "Service"). The Service is provided by Replio LLC ("Replio," "we," "us," or "our"). By using the Service, you agree to these Terms.

4. Customer Data

"Customer Data" means content that you submit or that we collect on your behalf through the Service, including Google reviews, business information, draft replies, and posted replies.

5. Subscriptions and Payment

5.1 Subscriptions, Renewal and Cancellation

What you are buying. Replio is sold as a paid subscription, billed monthly for each location on your account. Current pricing is shown at repliohq.com/pricing and again at checkout before you pay. If you and Replio have agreed a different billing term in writing, that agreement applies in place of this paragraph.

Automatic renewal. Your subscription renews automatically every month. On each renewal date we charge your payment method the fee for the locations on your account, and we keep doing so until you cancel. There is no fixed end date.

How to cancel. You can cancel online at any time: sign in at app.repliohq.com, open Settings, and choose Cancel subscription. You can also cancel by emailing help@repliohq.com from the email address on your account.

What happens when you cancel. Cancellation takes effect at the end of the billing period you have already paid for. You keep access until then, and you are not charged again. Replio does not provide prorated refunds for partial billing periods unless required by law. Cancelling does not by itself delete your data. See the Privacy Policy for how to ask for deletion.

No hidden fees. The only fees are the ones shown to you at checkout or agreed with you in writing. There is no fee to cancel.

5.2 Billing

Payments are processed by Stripe. By providing payment information, you authorize Replio (through Stripe) to charge the applicable fees for your subscription. All fees are stated and charged in U.S. dollars unless otherwise noted.

5.3 Price Changes

We may change subscription pricing at any time. For existing customers, we will provide at least 30 days' notice before any price increase takes effect on your next billing cycle.

5.4 Free Trials

Some plans start with a free trial. We collect a card at signup and charge it when the trial ends unless you cancel before then. For example, the Rex text plan starts with 7 days free, and your card is charged on day 8 unless you cancel before then. You can cancel any time during the trial by signing in at app.repliohq.com and tapping Manage billing, or by emailing help@repliohq.com. After the trial, the subscription renews automatically as described in section 5.1.

The Service requires you to authorize Replio to access your Google Business Profile via Google's OAuth flow. By doing so:

8. SMS Program Terms

Replio offers an optional SMS program. Consent to receive text messages is not a condition of creating an account, of purchasing any subscription, or of receiving support, and you can use every part of the Service without it.

If you opt in to receive text messages from Replio, you agree to the following:

Text Rex (texting Replio). Replio also publishes a phone number you can text to ask about the product. You start that program, either by texting the number or by entering your mobile number on a repliohq.com form and checking the box that asks Rex to text you, and the terms above apply to it with the following additions. We never text a number that did not ask. If you ask on a form, Rex may send one confirmation text and then replies to what you send. Message frequency varies with the conversation. Rex text plan subscribers who checked the box agreeing to texts may also receive a signup welcome, a trial ending notice, new review alerts, and an optional daily review summary; message frequency varies. The Rex text plan is delivered by text. If you buy it without checking that box, we send nothing until you text Rex yourself. If you name your restaurant or send a link to it, you are asking us to look up that business's publicly posted reviews and ratings and answer with what we found, and you confirm you are authorized to ask us to do so on that business's behalf. We read only what is public. Nothing we send is a guarantee of any result, and section 7 applies to it in full. Starting a conversation is not consent to marketing messages, and it is never a condition of getting pricing, a demo, or support.

Replio does not sell, rent, or share mobile phone numbers, SMS consent information, or SMS opt-in data with third parties or affiliates for marketing or promotional purposes. See section 6 of the Privacy Policy for how this data is collected, used, and retained.

9. Intellectual Property

The Service, including all software, content, design, and trademarks, is owned by Replio LLC or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to Replio's trademarks, logos, or branding without our prior written consent.

Copyright complaints. Reviews shown through the Service, including on public showcase pages and website embeds you publish, were written by other people. If you believe content shown through the Service infringes your copyright, or you wrote a review and want it taken off a showcase page, see our Copyright and Takedown Policy. We may remove content and close the accounts of repeat infringers as described there.

10. Confidentiality

Each party may receive non-public information from the other in connection with the Service. Each party agrees to protect the other's confidential information using reasonable care and to use it only as necessary to perform under these Terms or to use the Service.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REPLIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Replio does not warrant that the Service will be uninterrupted, error-free, or free from security incidents, or that AI-generated content will be accurate or fit for any particular purpose.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL REPLIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE.

REPLIO'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO REPLIO IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold Replio and its affiliates, officers, employees, and agents harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, your violation of these Terms, or your violation of any third-party right, including any right of privacy, intellectual property right, or contract right.

14. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or fail to pay fees when due, or for any reason on 30 days' notice.

Upon termination: your right to access the Service ends immediately; we will delete your Customer Data when you ask us to, as described in the Privacy Policy; and any provisions that by their nature should survive termination will survive.

15. Modifications to the Service or Terms

We may modify the Service at any time, including adding or removing features. We may also modify these Terms by posting the updated Terms on this page and updating the "Last updated" date. For material changes, we will provide at least 30 days' notice via email or through the Service. Your continued use of the Service after the effective date constitutes acceptance.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Texas, and you consent to the jurisdiction of those courts.
